Terms of Service — BakeCost

By downloading, installing, or using BakeCost ("the app", "the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Description of the Service

BakeCost is a platform that helps bakery and pastry businesses to:

  • Calculate real recipe costs
  • Manage products, inventory, and orders
  • Receive customer orders through a public storefront
  • Sync data across devices (optional, requires account)

The Service is offered in two modes:

  • Offline mode (no account): full functionality without internet or registration.
  • Account mode (optional): additional sync, cloud backup, multi-device, and storefront functionality.

2. Eligibility

To use the Service you must:

  • Be at least 18 years old, or the legal age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding contract
  • Not have been previously suspended or removed from the Service

If you use the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. User accounts

3.1 Account creation

  • You can create an account using email and password, Google, or Apple Sign In.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide truthful information and keep it up to date.

3.2 Account security

  • Notify us immediately if you suspect unauthorized use of your account at [email protected].
  • Do not share your credentials with third parties.
  • We use reasonable security measures but cannot guarantee that unauthorized third parties will never access your account.

3.3 Account deletion

  • You can delete your account at any time from Settings → Delete account.
  • Deletion is immediate and permanent: we erase your data from the server, your storefront's public photos, and your sign-in identity, and your storefront is deactivated immediately. This action cannot be undone.
  • Export a backup first if you want to keep your information.
  • We reserve the right to delete inactive accounts after 24 months of inactivity, with 30 days' prior notice by email.

4. Acceptable use

By using the Service, you agree NOT to:

  • Use the Service for any illegal or unauthorized activity
  • Publish false, misleading, defamatory, obscene, or rights-infringing content on your storefront
  • Attempt to access other users' data or internal Service systems
  • Reverse engineer, decompile, or disassemble the Service
  • Use bots, scrapers, or automated tools to access the Service without authorization
  • Intentionally overload the Service's infrastructure
  • Resell, sublicense, or redistribute the Service
  • Use the Service to send spam or unsolicited communications
  • Publish illegal, controlled, or dangerous products or services on your storefront
  • Impersonate another person or business

5. Storefront (Public Store)

5.1 Role of BakeCost

BakeCost acts exclusively as a technology platform that facilitates the connection between bakers/bakeries and their customers. BakeCost is NOT a party to any transaction between the bakery and the customer.

Specifically, BakeCost:

  • Does NOT act as seller, distributor, or agent of any bakery
  • Does NOT guarantee the quality, safety, legality, or availability of products offered
  • Does NOT process payments between bakeries and customers (payments are coordinated directly)
  • Does NOT handle deliveries or logistics
  • Does NOT bear responsibility for order fulfillment
  • Does NOT bear responsibility for food allergies, food poisoning, or any damage arising from product consumption

5.2 Bakery (store owner) responsibilities

If you activate a storefront, you are responsible for:

  • Complying with all local laws and regulations applicable to food sales, including health permits, business licenses, and food safety regulations
  • The truthfulness and accuracy of published information (descriptions, prices, photos, availability)
  • The quality and safety of the products you sell
  • Informing your customers about allergens present in your products
  • Fulfilling accepted orders
  • Managing returns, complaints, and disputes with your customers
  • Complying with applicable tax laws (collection and reporting of taxes)
  • Protecting your customers' personal data received through the storefront, in accordance with applicable privacy laws

5.3 Information for storefront customers

Customers placing orders through a BakeCost storefront should understand that:

  • They are transacting directly with the bakery, not with BakeCost
  • BakeCost does not verify the identity, licenses, health permits, or operational capacity of bakeries
  • BakeCost does not inspect, certify, or guarantee the products offered
  • Any dispute about an order must be resolved directly with the bakery
  • Contact information provided when placing an order will be visible to the bakery

5.4 Storefront content

We reserve the right to:

  • Remove content that violates these Terms
  • Suspend or deactivate stores that publish inappropriate, illegal, or misleading content
  • Suspend stores that receive recurring verified complaints

6. Intellectual property

6.1 Our property

BakeCost, including its code, design, brand, logos, text, and all underlying technology, is owned by Xavier Llano, an individual operating under the trade name "XlStudio" ("us"). These Terms do not grant you any intellectual property rights over the Service.

6.2 Your content

  • You retain ownership of all content you generate in the app (recipes, business data, photos, etc.). These Terms do not transfer ownership to us.
  • Limited license. Solely to operate the Service, you grant us a worldwide, non-exclusive, royalty-free, revocable license to host, store, reproduce, and display your content only as needed to provide the Service to you and to show your public storefront to your end customers. We do not sell your content, do not use it for advertising, and do not sublicense it to third parties for marketing.
  • Public scope. The product photos and logo you upload to your storefront are hosted on our server and are publicly accessible (anyone with your store link or the image URL can view them); this is inherent to having a public page.
  • This license terminates when you delete the content or your account, except for residual technical or backup copies that are purged within a reasonable period.

7. Payments and subscriptions

7.1 Free plan and BakeCost Pro

The core of BakeCost — recipe costing, products, orders, calendar, customers, inventory, expenses, notes, calculator, reports, backup/CSV, and local reminders — is free, with no account and no internet.

BakeCost Pro is an optional paid subscription that unlocks the cloud features: cross-device sync, cloud backup, your public storefront, custom domain/page, and server-sent backup reminders.

7.2 Billing and renewal

  • On iOS, BakeCost Pro is sold as an in-app purchase processed by Apple (App Store); on Android, by Google Play; on the web (bakecost.app), by Stripe.
  • Subscriptions are auto-renewing: they renew automatically at the end of each period (for example, monthly or annual) unless you cancel at least 24 hours before the end of the current period.
  • The price, the period length, and any free trial are shown on the purchase screen before you confirm. Prices may vary by country or region.
  • The charge is applied to your App Store or Google Play account (or your payment method in Stripe) when you confirm the purchase and at each renewal.

7.3 Free trial

If we offer a free trial, any unused portion is forfeited when you purchase the corresponding paid subscription.

7.4 Cancellation and refunds

  • You can cancel at any time: on iOS from your App Store account settings, on Android from Google Play → Subscriptions, and for Stripe purchases by writing to us at [email protected]. Cancellation stops the next renewal; you keep Pro until the end of the period already paid for.
  • Refunds for purchases made on iOS or Android are governed by Apple's and Google's policies respectively. For Stripe purchases, contact us at [email protected].

7.5 Price changes

If we change the price of an existing subscription, we will notify you in advance and, where the law or the store requires it, request your consent. Price changes apply only to future renewal periods.

7.6 Storefront transactions

BakeCost does not process payments between bakeries and customers. Payments are coordinated directly between the parties (cash, bank transfer, or other agreed methods). BakeCost does not charge a commission or act as a financial intermediary between the bakery and its customers.

8. Limitation of liability

8.1 The Service is provided "as is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAKECOST AND ITS OPERATOR SHALL NOT BE LIABLE FOR:

  • Loss of data, revenue, profits, or anticipated savings
  • Indirect, incidental, special, consequential, or punitive damages
  • Service interruptions, errors, or inaccuracies
  • Any damage arising from transactions between bakeries and customers facilitated through the storefront
  • Any damage arising from unauthorized access to your account
  • Any damage exceeding the total amount you have paid to BakeCost in the 12 months preceding the event giving rise to the claim (or $100 USD if you have paid nothing)

8.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

9. Indemnification

You agree to indemnify, defend, and hold harmless BakeCost and its operator, Xavier Llano (operating as "XlStudio"), from any claim, demand, loss, damage, cost, and expense (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • The products or services you offer through your storefront
  • Any dispute with a customer of your storefront
  • Your content published on the Service

10. Service availability

  • We strive to keep the Service available 24/7 but do not guarantee uninterrupted availability.
  • We may perform scheduled maintenance. When possible, we will provide advance notice.
  • The app's offline functionality is not affected by our server availability.
  • We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice (minimum 30 days for material changes).

11. Termination

11.1 By you

You can stop using the Service and delete your account at any time, without justification.

11.2 By us

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • You use the Service for illegal activities
  • Your storefront receives recurring verified complaints
  • It is necessary to protect the security or integrity of the Service
  • It is required by law

In the event of termination by us, we will notify you by email and you will have 30 days to export your data before permanent deletion, except in cases of illegal activity where termination may be immediate.

11.3 Effect of termination

Upon termination:

  • Your access to the Service will cease
  • Your storefront will be deactivated immediately
  • Your data will be deleted as described in our Privacy Policy
  • Sections of these Terms that by their nature should survive (limitation of liability, indemnification, intellectual property, governing law) will continue in effect

12. Dispute resolution

12.1 Direct communication

Before initiating any legal proceedings, you agree to contact us at [email protected] and attempt to resolve the dispute in good faith for a period of 30 days.

12.2 Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without giving effect to any conflict of laws principles.

12.3 Jurisdiction

Any dispute that cannot be resolved through direct communication will be submitted to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Pennsylvania, United States.

12.4 Class action waiver

To the maximum extent permitted by applicable law, you agree to resolve any dispute with BakeCost on an individual basis and waive the right to participate in class actions or representative lawsuits.

13. General

13.1 Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BakeCost regarding the Service.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to exercise a right under these Terms does not constitute a waiver of that right.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Notices

Notices under these Terms will be sent by email to the address associated with your account (if you have one) or posted in the app.

14. Changes to these Terms

We may modify these Terms at any time. If we make material changes:

  • We will notify you at least 30 days in advance
  • Continued use of the Service after the effective date constitutes your acceptance of the updated Terms
  • If you do not agree with the changes, you must stop using the Service and delete your account
